Terms of Service

1. Scope

These Terms of Service govern the use of software products and services provided by Frederik von der Heyden, Danzigweg 5a, 59755 Arnsberg, Germany ("Provider"), operating under the brand "Prompt & Build".

Products include GuardRail, Compliance Shield, AgentStack, Model Router, Night Shift, Graphify, and Autonomie OS.

These Terms apply to both consumers (Section 13 of the German Civil Code, BGB) and business customers (Section 14 BGB).

2. Open Source License

The core components of all products are released under the MIT License. You are free to use, modify, and distribute the software in accordance with that license. The MIT License text is included in each repository.

3. Pro and Enterprise Plans

Paid plans (Pro, Team, Enterprise) provide additional features, support, and services as described on each product's pricing page. Payment is processed via Stripe. Subscriptions renew monthly unless canceled. All prices are in USD and exclude applicable taxes.

4. Trial Period

Paid plans may include a trial period. You can cancel during the trial at no cost. After the trial, the subscription auto-renews at the listed price.

5. Right of Withdrawal (Consumers)

If you are a consumer within the European Union, you have the right to withdraw from this contract within 14 days without giving any reason.

The withdrawal period expires 14 days after the day of the conclusion of the contract.

To exercise the right of withdrawal, you must inform us of your decision to withdraw by an unequivocal statement (e.g., a letter sent by post or email). You may use the model withdrawal form below, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you communicated your withdrawal, in comparison with the full coverage of the contract.

6. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial months, except where mandatory consumer protection law provides otherwise.

7. Limitation of Liability

The Provider is liable without limitation for damages caused by intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlaessigkeit), as well as for injury to life, body, or health.

For slight negligence, the Provider is only liable in case of breach of a material contractual obligation (Kardinalpflicht). In such cases, liability is limited to the foreseeable, contract-typical damages. The typical foreseeable damage for paid plans is limited to the amount of fees paid by the customer in the 12 months preceding the event giving rise to liability.

The above limitations do not apply to liability under the German Product Liability Act (Produkthaftungsgesetz) or to damages arising from fraudulent misrepresentation.

The open-source software components (MIT License) are provided "as is" without warranty, as stated in the MIT License terms.

GuardRail and Compliance Shield are security and compliance assistance tools. They do not guarantee complete protection or legal compliance. They are designed to support — not replace — professional security practices and legal counsel.

8. Data Processing

The Provider processes personal data in accordance with the Privacy Policy and applicable data protection law, in particular the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).

9. AI Transparency and EU AI Act

The Provider's products interact with artificial intelligence systems. In accordance with the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), we disclose the following:

10. Changes to These Terms

The Provider may update these Terms. Material changes will be communicated via email to active subscribers at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree with the changes, you may cancel your subscription before the effective date.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

For business customers, the place of jurisdiction is Arnsberg, Germany.

For consumers, the applicable statutory provisions on jurisdiction apply. Consumers domiciled in the EU may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr/.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the economic purpose of the invalid provision.
